End-User Licence Agreement
Last updated: 16 October 2026
Draft for review. This document is an engineering-grounded first draft. It is not legal advice and has not yet been reviewed by a lawyer.
This EULA is a legal agreement between you and [LEGAL NAME] trading as figure.land (“Seams”, “we”, “us”) for the Seams desktop application (land.figure.seams) and any updates (the “Software”). By installing or using the Software you accept this EULA.
1. Licence grant
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on devices you own or control, for your own lawful use, subject to this EULA.
2. Restrictions
Except as permitted by law or an applicable open-source licence, you will not:
- sell, rent, lease, sublicense, or redistribute the Software as your own;
- remove or alter proprietary notices;
- use the Software to build a competing product by copying it; or
- use the Software unlawfully.
Reverse engineering, modification, and study are permitted to the extent you have a non-waivable legal right to do so, and to the extent any published source licence allows.
3. Your data and privacy
The Software stores your content and encryption keys locally on your device. The local database is not encrypted at rest by the Software itself, so protection at rest depends on your operating system and disk encryption. Sync is end-to-end encrypted. See the Privacy Policy for details. You are responsible for backing up your device — do not treat the relay as your only copy.
4. Updates
The Software may update from time to time. Updates are provided under this EULA unless accompanied by new terms.
5. Third-party & open-source components
The Software includes third-party and open-source components, each under its own licence; those licences govern those components and prevail for them where they conflict with this EULA.
6. Warranty disclaimer
The Software is provided “as is” and “as available,” without warranty of any kind to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Seams is early software and may contain defects, including ones that could result in data loss.
7. Limitation of liability
To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill. Our total aggregate liability will not exceed [AMOUNT — CONFIRM]. Nothing limits liability that cannot be limited by law.
8. Termination
This licence ends automatically if you breach it; on termination you must stop using and uninstall the Software. You may terminate at any time by uninstalling it. Terms that by nature survive (ownership, disclaimers, liability, governing law) survive termination.
9. Governing law
This EULA is governed by the laws of [JURISDICTION], without affecting your mandatory local consumer rights.
